Terms of Service
Last updated: 14 October 2026
PrologEU is a product of Carriage LLC, a limited liability company registered in Florida, USA (Oakland Park, Florida). In these documents "PrologEU", "we" and "us" mean Carriage LLC. These terms apply to businesses that use the PrologEU dashboard, driver app and related services ("the Service"). PrologEU is offered to businesses only, not to consumers.
1. Agreement
By creating an account, starting a trial or signing an order or quote, the customer accepts these terms. An individual order or quote may set additional terms; if it conflicts with these terms, the order or quote prevails.
2. Free trial
We may offer a free trial, normally 30 days. The trial is provided as is and can be ended by either party at any time. At the end of the trial the customer can sign up for a paid subscription; nothing is charged automatically. If the customer does not sign up, data entered during the trial is deleted 30 days after the trial ends.
3. Accounts and users
The customer is responsible for the users it creates (owners, dispatchers, drivers), for keeping login details confidential and for all activity under its accounts.
4. Fees and payment
Fees are set out in the customer's quote or order. Unless agreed otherwise, fees are invoiced monthly in advance and are payable within 14 days. Prices exclude VAT and other taxes. We may suspend access if invoices remain unpaid after a reminder.
5. Compliance responsibility
PrologEU helps customers and drivers understand driving and working times and potential infringements. It does not replace legal advice, and results depend on the quality and completeness of the data provided. The customer and its drivers remain responsible for complying with all applicable rules, including Regulation (EC) 561/2006, Regulation (EU) 165/2014, the Working Time Directive and national law, and for downloading and keeping tachograph data as the law requires.
6. Customer data
The customer owns its data. We process personal data on the customer's behalf under our Data Processing Agreement, which forms part of these terms and prevails over them on data protection matters. The customer may export its data while its subscription is active.
7. Acceptable use
The customer will not misuse the Service, attempt to access other customers' data, upload unlawful content or interfere with the Service's security or operation.
8. Availability and changes
We aim to keep the Service available at all times but do not guarantee uninterrupted operation. We may improve and change features; we will not materially reduce the core functionality of a paid subscription during its term.
9. Third-party services
Some features rely on third parties, such as map, routing and toll data or the customer's telematics provider. Their availability and accuracy are outside our control. Route and toll information is an estimate.
10. Liability
To the extent permitted by law, neither party is liable for indirect or consequential losses, lost profits or lost data, and each party's total liability is limited to the fees paid by the customer in the 12 months before the claim. Fines imposed on the customer or its drivers are the customer's responsibility. These limits do not apply to liability that cannot be limited by law.
11. Term and termination
Subscriptions run for the period in the order and renew unless cancelled with 30 days' notice. Either party may terminate for material breach that is not fixed within 30 days of notice. After termination, the customer can request an export of its data within 30 days, after which we delete it.
12. Governing law
These terms are governed by the laws of the State of Florida, USA, unless mandatory law in the customer's country provides otherwise.
